Halper Sadeh LLC, a New York investor rights law firm, said on October 18, 2026 that it is reviewing four pending takeovers of U.S.-listed companies for possible securities law violations or breaches of directors' duties to shareholders, according to a statement distributed by PR Newswire.
The review covers the cash purchase of Distribution Solutions Group, Inc. (Nasdaq: DSGR) at $35.00 a share by entities connected to LKCM Headwater Investments, LLC; the acquisition of Option Care Health, Inc. (Nasdaq: OPCH) at $32.05 a share by CD&R and McKesson Corporation; the $8.05-a-share cash buyout of Priority Technology Holdings, Inc. (Nasdaq: PRTH) by a group of investors headed by Thomas Priore, the company's chairman and chief executive; and the $14.25-a-share cash purchase of Utz Brands, Inc. (NYSE: UTZ) by Intersnack Group GmbH & Co. KG.
The firm said company insiders could collect payouts that other holders do not receive, and that deal terms may restrict rival bids. It said it could press for a higher price, fuller disclosure or other remedies for shareholders, and that it would take such work on a contingency basis. The statement was labeled attorney advertising.
